Commercial Conditions of Sale, Chemical Handling Obligations, and South African Statutory Governance
1. Contractual Scope and Legal Governance

This agreement is interpreted and enforced under the laws of the Republic of South Africa, including the Consumer Protection Act 68 of 2008 (CPA) and the Electronic Communications and Transactions Act 25 of 2002 (ECTA).
Whenever a purchaser acts on behalf of a laboratory, university, agricultural cooperative, mining enterprise, or commercial corporation, that individual warrants that they possess full legal authority to bind the juristic entity to these contractual terms. Any variation to these conditions is valid only when confirmed in writing by an authorised director of TZG Holdings via sales@tzgholdings.co.za.
2. Product Specifications, Intended Use, and Safe Chemical Handling
TZG Holdings supplies two distinct product portfolios: analytical and industrial chemicals under our Chemicals division, and bulk grains, pulses, seeds, spices, flours, sugars, and raw cotton under our Agriculture division. All chemical compounds are sold strictly for legitimate laboratory research, analytical testing, water purification, mining beneficiation, agricultural formulation, or industrial manufacturing processes. Chemical products are never intended for unauthorized domestic consumption, illicit synthesis, or improper environmental disposal.
Buyers purchasing from the Chemicals catalogue acknowledge that they possess the requisite technical competence, personal protective equipment, ventilation infrastructure, and waste disposal protocols required to handle industrial reagents safely. TZG Holdings provides Safety Data Sheets and Certificates of Analysis upon request, and the buyer assumes full responsibility for safe storage and handling once the sealed containers are signed for upon delivery or collected from our Midrand warehouse.
3. Pricing in South African Rand, Quotations, and Order Acceptance
All catalogue prices displayed on tzgholdings.co.za are denominated in South African Rand (ZAR). Unless explicitly indicated otherwise on a formal commercial quotation, published prices are subject to standard Value Added Tax (VAT) at the prevailing statutory rate prescribed by the South African Revenue Service. Because international shipping rates and commodity exchange indices fluctuate, TZG Holdings reserves the right to adjust online catalogue prices prior to order confirmation.
Submitting an order through our WooCommerce checkout or requesting a proforma invoice via WPForms constitutes a formal offer to purchase. A binding contract of sale comes into existence only when TZG Holdings verifies stock allocation at our Barbeque Downs depot, confirms receipt of cleared funds in our corporate bank account, and dispatches a written order confirmation to the buyer.
4. Risk Transfer, Warranties, Limitation of Liability, and Dispute Resolution
TZG Holdings warrants that all research chemicals and agricultural commodities conform to the published batch specifications or grade descriptions at the time of dispatch. Physical risk of loss or damage passes to the purchaser upon signed delivery at the designated South African destination address, or immediately upon loading when the purchaser nominates their own transport contractor to collect from 4 River Rd, Barbeque Downs, Midrand.
Subject to mandatory provisions of the Consumer Protection Act 68 of 2008, the aggregate liability of TZG Holdings for any proven batch defect, short delivery, or breach of warranty is strictly limited to either replacing the non conforming product or refunding the exact purchase price paid for the affected lot. Neither party shall be liable for indirect consequential losses or production downtime. Any commercial dispute not resolved through good faith negotiation within fourteen business days shall be referred to the Magistrate Court or High Court of South Africa having jurisdiction over Midrand, Gauteng.
5. Intellectual Property, Account Security, and Force Majeure
All text descriptions, catalogue photographs, brand hierarchies, technical tables, and graphic assets published on tzgholdings.co.za remain the protected intellectual property of TZG Holdings and its respective manufacturing partners. Unauthorised scraping, commercial reproduction, or redistribution of our digital catalogue without prior written permission is strictly prohibited under South African copyright law.
Registered users are responsible for maintaining the confidentiality of their account login passwords and restricting unauthorized access to their corporate procurement profiles. Furthermore, TZG Holdings shall not be held in breach of delivery timelines where performance is delayed by events beyond reasonable commercial control, including national port congestion, sovereign customs inspections, extreme weather events, or national utility interruptions.
